4.Based on the foregoing and upon such investigations as we have deemed necessary, we are of the opinion that, so far as the laws of the People's Republic of China are concerned:
a) The Company is duly incorporated, organized and validly existing under the laws of the People's Republic of China.
b) The Company has the power and authority to execute and deliver, and to perform its obligations under the Land Agreement and possess the capacity to use and be used in its own name.
c) The execution and delivery of the Land Agreement by the Company and the performance of its obligations thereunder have been and remain duly authorized by all necessary action and do not contravene:
i) any provision of the Company’s certificate of approval, or business license or memorandum and articles of association or by-laws (or equivalent constituent documents); or
ii) any law, rule or regulation applicable to the Company or any order decree or judgment of any Court applicable to it or any of its property or assets; or
iii) any contractual restriction binding on or affecting the Company or its property.
d) All consents, authorizations and approvals (including, without limitation, exchange control approvals) required for the execution and delivery by the Company of the Land Agreement and the performance of its obligations thereunder have been obtained and remain in full force and effect, all conditions thereof have been duly complied with, and no other action by, and no notice to or consent of or notarisation or filling or registration with, any governmental authority or regulatory body is required for such execution, delivery, performance, validity or enforceability of the Land Agreement.

4，在前述的内容和我们认为必不可缺的调查研究基础上，依据中华人民共和国法律的相关内容，我们认为：
a) 本公司系依据中华人民共和国法律正式成立、组建并合法存在的公司。
b) 本公司有权力签署并递交土地协议，然后依据该协议履行其义务，并以其自己的名义拥有使用和被使用的权力。
c) 本公司发行的土地协议的签署、递交和履行义务已通过一切必要的行为获得正式授权，并不违反：
i) 本公司的批准证书、营业执照、公司章程与细则或内部细则（或等效的组成文件）中的任何条款；和
ii) 任何适用于本公司的法律、法规或规条和适用于本公司或其任何财产或资产的法院颁布的规定和判决；和
iii) 任何约束或影响本公司及其财产的契约限制。
d) 本公司发行的土地协议的签署和递交与依据该协议履行义务所需的审批许可、授权和批准（包括无限制的外汇审批）已经获得并仍然完全有效，该公司已经严格遵守该协议的所有条件，而且该土地协议的签署、递交、履行义务及其有效性或可执行性无需政府主管机关或监管组织采取其它措施，也无需政府主管机关或监管组织的重视、审批许可、公证或登记。
